| dc.description.abstract | Tento článek se zabývá otázkami souvisejícími s přenesením působnosti provést organizační změnu na dozorčí radu, a to v kontextu konkrétní úpravy stanov, s níž se autor setkal při své praxi. Článek se nejprve zabývá postavením orgánů obecně, dále zmiňuje řešenou konkrétní úpravu stanov, poté se podrobněji zabývá působností dozorčí rady obecně a pojmem „organizační změna“. Autor poté rozebírá některé varianty rozhodování orgánů společnosti o organizační změně za účinnosti předestřené úpravy stanov a dává odpovědi na předem vytyčené otázky stran právní možnosti dané úpravy stanov, její účelnosti a některých jejích důsledků. | cs |

The article first discusses the status of the bodies in general, then mentions the specific regulation of the articles of association in question, and then discusses in more detail the competence of the supervisory board in general and the concept of "organisational change". The author then analyses some variants of the decision-making of the company's bodies on organisational change under the effectiveness of the presented regulation of the articles of association and gives answers to the questions concerning the legal possibility of the given regulation of the articles of association, its effectiveness and some of its consequences. | en |
