Abstract
Rodinný závod je takový závod, ve kterém společně pracují manželé nebo alespoň s jedním z manželů i jejich příbuzní až do třetího stupně nebo osoby s manžely sešvagřené až do druhého stupně a který je ve vlastnictví některé z těchto osob, bez toho, že tak tyto osoby činí jako společníci společnosti nebo na základě pracovní smlouvy. Rodinný závod není tedy charakterizován předmětem podnikání, ale osobami, které se trvale podílejí na jeho provozování. Právní úpravu rodinného závodu přinesl (nový) občanský zákoník přesně před deseti lety, a touto upravil právní poměry členů rodiny zúčastněných na společném rodinném podnikání. Rodinný závod však v podání norem stávajícího občanského zákoníku není právnickou osobou, a nezapisuje se do veřejného rejstříku. Nejde však ani o podnikání fyzické či právnické osoby za tichého společenství jiných osob. Jaké jsou tedy poměry mezi členy rodinného závodu, a především jaké jsou poměry členů rodinného závodu vůči osobám stojícím vně závodu?
A family business is a business in which spouses or at least one of the spouses and their relatives up to the third degree work together, or persons who are in-laws with their spouses up to the second degree, and which is owned by one of these persons, without these persons doing so as partners in the company or on the basis of an employment contract. A family business is therefore not characterised by the subject of the business, but by the persons who permanently participate in its operation. The legal regulation of a family business was introduced by the (new) Civil Code exactly ten years ago, and it regulated the legal relations of family members involved in a joint family business. However, a family business, according to the norms of the current Civil Code, is not a legal entity and is not registered in the public register. However, it is not a business of a natural or legal person in a silent partnership with other persons. So what are the relations between the members of a family business, and above all what are the relations of the members of a family business towards persons outside the business?
