Statutární a zaměstnanecká role jednatele společnosti s ručením omezeným: srovnávací analýza právní úpravy v ČR a SRN

Abstract

Článek se zabývá analýzou a srovnáním právního postavení jednatele společnosti s ručením omezeným v České republice a ve Spolkové republice Německo. Cílem je vymezit statutární a zaměstnaneckou roli jednatele, vytyčit hranice jeho oprávnění a analyzovat případnou kumulaci výkonu funkce jednatele se zaměstnáním. Právní úprava vztahů mezi společností a zaměstnancem a mezi společností a členem statutárního orgánu je v Německu v mnoha ohledech podobná české právní úpravě. Při bližším zkoumání však lze nalézt významné rozdíly, například v dualitě vztahu mezi jednatelem a společností, v požadavcích na formu smlouvy o výkonu funkce nebo v samotné přípustnosti souběžného pracovního poměru a výkonu funkce člena statutárního orgánu. Článek na tyto rozdíly poukazuje.The article deals with the analysis and comparison of the legal status of the managing director of a limited liability company in the Czech Republic and the Federal Republic of Germany. The aim is to define the statutory and employee roles of the managing director, delineate the boundaries of his/her authority, and analyze the potential concurrence of performing the function of managing director with employment. The legal regulation of the relationships between the company and the employee and between the company and a member of the statutory body in Germany is in many respects similar to the Czech legal regulation. However, upon closer analysis, significant differences can be observed, for example, in the duality of the relationship between the managing director and the company, the requirements for the form of the service contract, or the very admissibility of concurrent employment and performance of the function of a member of the statutory body. The work highlights these differences.
