Abstract

Článek se věnuje podmínkám provozování živnosti prostřednictvím odpovědného zástupce, analyzuje zákonnou úpravu odpovědného zástupce, zabývá se právní povahou a obsahem smlouvy o výkonu funkce odpovědného zástupce a vztahem mezi podnikatelem a odpovědným zástupcem a rovněž zkoumá problematiku odpovědnosti odpovědného zástupce vůči podnikateli a třetím osobám. Závěrem přináší autorovi úvahy de lege ferenda.The article deals with the conditions of running a trade through a responsible representative, analyses the legal regulation of the responsible representative, deals with the legal character and content of the contract of the responsible representative and the relationship between the entrepreneur and the responsible representative and also examines the issue of the responsible representative's liability towards the entrpreneur and third parties. Finally, it concludes with de lege ferenda considerations.
