dc.description.abstractDiplomová práce se věnuje problému zastoupení a jeho nákladům. V úvodu vymezuje právní a ekonomickou podstatu korporace a teoretické aspekty problematiky principal-agent, včetně její kritiky. Dále uvádí obecný nástin správy společnosti, aby v poslední části představila mechanismy řešení problému zastoupení a uvedení výbraných schémata české právní úpravy.cs
dc.description.abstract-translatedThis paper deals with the agency problem and its costs. In fist part, it defines the legal and economic nature of the corporation and theoretical aspects of principal-agent issue, including its criticism. Further part brings the basic outline of corporate governance. In final part, it presents the legal mechanisms for mitigating with the agency problem and provides selected schemes of the Czech corporate law.en
