dc.description.abstractPéče řádného hospodáře není v českém právním prostředí ničím zcela novým. Až do roku 2014 byl tento pojem však zcela otevřený a chyběla mu zákonná definice. Význam pojmu řádného hodpodáře byl tedy dovozován judikaturou a odbornými právními texty. S rekodifikací však péče řádného hospodáře doznává alespoň formálníh změn. Péče řádného hospodáře je nově povinností vztahující se na všechny volené, jmenované či jinak povolané členy orgánů právnických osob a jeho úpravu najdeme v občanském zákoníku. Ten také přichází se základní definicí této povinnosti. Podle občanského zákoníku tak každý, kdo přijme uvedenou funkci, musí tuto vykonávat s nezbytnou loajalitou, potřebnými znalostmi a pečlivostí. V rámci úpravy obchdodních korporací se tento institut ještě dále vyostřuje dalšími povinnostmi. Které jsou ale vyvažovány tzv. pravidlem podnikatelského úsudku. Cílem předkádané práce je poukázat na nastalé změny. Tyto totiž de facto kopírují dosavadní výsledky odborných diskusí, proto se zdá být zákonná změna spíše formální, nicméně jakým způsobem ovlivní rozhodaví praxi, je zatím otázkou.cs
dc.description.abstract-translatedCare of Legal Duty of a Proper Manager in the Czech legal order is nothing new. Untill the 2014 thia term was completely open and without any legal definition.The meaning of this term was concluding by the decisions of courts and professionals legal texts. According the recodification of Civil Code gets the Care of Legal Duty of a Proper Manager formal changes at least. This term is newly the duty related to all elected, named or other summonded members of statutory organs. It's legal definition is now set in Civil Code. The Civil Code come with elementary definition of that duty. According the new definiciton claims that all person who accept that function, must perform with necessar loyalty, needed knowledges and with care. In the new act of commercial companies, this duty is more strict. This is balance with the so called Business Judgement Rule.The submitted diplomat thesis would like to highlight to the changes and differences between the old act and the new one. At the result it says tha changes are symply copiing prewious results of professionals discusiona. That's why it seems to be more formal changes, nevertheless no one can tells now how it will affect the futurue decisions of the courts.en
