dc.description.abstractDnešní obchodní prostředí je natolik dynamické, že je třeba chránit nejen zájmy jednotlivců, ale i obchodních korporací. Má práce pojednává o institutu péče řádného hospodáře na pozadí historického kontextu od římského práva po současnost. Ačkoliv soukromoprávní rekodifikace přinesla mnoho vyjasnění, podstatná část otázek zůstává nezodpovězena. Snahou je zde, alespoň částečně, podat odpověď na některé z nich. Risk je imanentní součástí byznysu, a zákonodárce prostřednictvím aktuální právní úpravy dává najevo, že si je tohoto jevu plně vědom. Nabízí na oplátku ochranný štít ve formě pravidla podnikatelského úsudku pro ty, kteří budou jednat informovaně, loajálně a v obhajitelném zájmu korporace. Na podkladu judikatury, odborných publikací, a prostřednictvím zejména analytické a popisné metody, se snaží tato práce přispět k objasnění institutu péče řádného hospodáře a s ní souvisejících atributů.cs
dc.description.abstract-translatedToday's business environment is so dynamic that it is necessary to protect not only the interests of individuals but also interest of business corporations. My thesis deals with the institute of due managerial care on the background of historical context from Roman law to the present. Although private law recodification has brought many clarifications, a substantial part of the questions remains unanswered. The aim here is, at least partly, to answer some of them. Risk is an immanent part of the business, and the legislator, through current legislation, shows that he is fully aware of this phenomenon. In return,he offers a protective shield in the form of a business judgment rule for those who act informed, loyally and in defensible interest of the corporation. Based on case law, professional publications and, in particular, by the analytical and descriptive method, this thesis seeks to contribute to clarifying the institute of due managerial care and the attributes associated with it.en
