Vybrané problémy hardship doložky ve vztahu ke smlouvě o dílo

Abstract

Hardship doložka je jedním z právních institutů chránících smluvní stranu, jejíž možnosti plnění sjednaných povinností jsou ztíženy. V našem právním řádu je úzce spojena s institutem změny okolností. Nový občanský zákoník zavedl dvoukolejnost právní úpravy změny okolností, kdy vedle sebe existuje obecná úprava posuzovaného institutu a speciální úprava vztahující se k vybraným závazkům. S touto konstrukcí je spojena řada výkladových nejasností. Předmětem tohoto příspěvku je analýza sporných otázek týkajících se speciální úpravy změny okolností vztahující se ke smlouvě o dílo, jejího vztahu k obecné právní úpravě a formulačních aspektů ujednání, kterým na sebe smluvní strany přejímají nebezpečí změny okolností.

The hardship clause is one of the legal institutes protecting a party whose ability to fulfil the agreed obligations is hindered. In our legal system it is closely linked to the institute of change of circumstances. The new Civil Code has introduced a two-track legal regulation of change of circumstances, whereby there is a general regulation of the institute under consideration and a special regulation relating to selected obligations. There are a number of interpretative uncertainties associated with this construction. The subject of this article is an analysis of the controversial issues concerning the special regulation of change of circumstances applicable to a work contract, its relationship to the general regulation and the formulation aspects of the arrangement by which the parties assume the risk of change of circumstances.
