dc.description.abstractPředkládaná diplomová práce se zabývá problematikou střetu zájmů podle zákona č. 90/2012 Sb., o obchodních společnostech a družstvech, je tedy zaměřena na výklad střetu zájmů v obchodních korporacích. Tato práce je rozčleněna na úvod, 6 kapitol a závěr. První část slouží k získání základních poznatků k problematice střetu zájmů. Důraz je kladen na zásady, které s touto tématikou úzce souvisí. Druhá část poskytuje analýzu geneze tohoto institutu v návaznosti na rekodifikaci soukromého práva. Třetí a čtvrtá část pak skýtá důkladnou analýzu vybraných aspektů střetu zájmů včetně praktického pohledu uvnitř obchodní korporace. Pátá část je věnována srovnání americké právní úpravy. Poslední část řeší problematiku střetu zájmů de lege ferenda.cs
dc.description.abstract-translatedThe submitted diploma thesis deals with the problematic of conflict of interest according to the Act No. 90/2012 Coll., on Commercial Companies and Cooperatives (Business Corporations Act). The thesis is focused on the interpretation of the conflict of interest in business corporations. This work is divided into introduction, 6 chapters and conclusion. The aim of the first part of the thesis is to describe the basic terms of problematics of conflict of interest to get a better understanding of the whole topic. The emphasis is put on main principles closely related to the conflict of interest. The second part provides the genesis of this institute in connection with the recodification of private law in the form of analysis. The third and fourth part provide a thorough perspective of selected aspects of the conflict of interest, including a practical perspective within a business corporation. The fifth part compares the Czech and US legislation. The last part deals with the conflict of interest de lege ferenda.en
